This Reseller Agreement enters into force between Enes Zorkol — yorumkaldir.com (“Service Provider”) and the natural or legal person whose “Reseller / Agency” account has been approved in the panel (“Reseller”) at the moment of approval, and supplements the Terms of Service.
1. Scope of the reseller relationship
1.1. The Reseller sells the review removal service in its own name for the Google Maps business profiles of its own clients; it creates and tracks orders through the panel.
1.2. The Reseller is not an agent, representative or partner of the Service Provider; it acts towards its clients in its own name and on its own account. The Service Provider is not liable for the contracts the Reseller concludes with its clients.
1.3. The reseller relationship is non-exclusive and contains no territorial restriction.
2. Approval process
Reseller applications are reviewed by the Service Provider and approved or rejected within one business day. The Service Provider may reject an application without stating reasons.
3. Pricing and collection
3.1. The special reseller unit price shown in the panel applies to the Reseller. The Reseller freely determines the sales price it charges its clients; the difference is the Reseller’s margin.
3.2. No prepayment is taken. The Reseller’s debt to the Service Provider arises only per removed review, at the moment removal is detected, and is listed in the panel.
3.3. The Reseller pays the accrued amount to the Service Provider within the payment term, regardless of whether it has collected payment from its client. The client collection risk lies with the Reseller.
3.4. The Service Provider may set a credit limit based on the Reseller’s payment history; when the limit is exceeded, the creation of new orders is suspended.
3.5. The “Collections” module provided in the panel is a tool for the Reseller to track its own client receivables; the Service Provider is not a party to the collection of those receivables.
4. Client authorisation and data
- The Reseller declares that it has obtained written authorisation from its client for every business for which it creates an order and presents the authorisation document on request.
- The Reseller processes its clients’ personal data in accordance with KVKK and transfers to the Service Provider only the data required for the service.
- Business lists obtained through the “Business Lookup” (prospecting) module may be used only for the Reseller’s own sales activity; they may not be sold or transferred to third parties. The daily prospecting quota is determined by the Service Provider.
5. Use of brand and prohibitions
In the offers it presents to its clients, the Reseller may not make statements contrary to the principle of “no prepayment, fee only per removed review” and may not make misleading promises such as “guaranteed deletion” or “all reviews will be deleted”. The yorumkaldir.com brand and logo may be used only with written permission. Live report pages may be shared with clients.
6. Liability
All claims and damages arising from the commitments the Reseller makes to its clients, from unauthorised orders and from unlawful processing of client data are borne by the Reseller; the Reseller indemnifies the Service Provider for any damage it suffers as a result.
7. Term and termination
This Agreement is concluded for an indefinite term. Either party may terminate it with 15 days’ notice. In the event of default in payment, misleading sales statements or abuse, the Service Provider may terminate the Agreement with immediate effect. Termination does not extinguish accrued debts.
8. Other provisions
Matters not regulated in this Agreement are governed by the Terms of Service. Turkish law applies; the Courts and Enforcement Offices of Istanbul (Çağlayan) have jurisdiction.
